Terms of Service

Last updated: September 2025

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Legenti website, demos, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Legenti provides enterprise-grade agentic workflow automation. Our AI agents orchestrate end-to-end processes, integrate with your tools (e.g., CRM, task systems, communications), and may be deployed in your cloud or on-premises environment. This website presents product information and allows you to request contact or a demo by submitting your details. Any production use of Legenti software or services may be subject to a separate order form, subscription agreement, or statement of work (collectively, a "Service Agreement"). In the event of a conflict, the Service Agreement controls.

3. Eligibility; Lead Submissions

You must be at least the age of majority in your jurisdiction to use the Services. You agree to provide accurate, current, and complete information when submitting forms (e.g., name, email, phone). By submitting your information, you authorize Legenti to contact you about our products and services. You may opt out at any time using the unsubscribe instructions in our communications or by contacting us.

4. Acceptable Use

You agree not to misuse the Services. For example, you will not: (a) violate any applicable law or rights of others; (b) probe, scan, or test the vulnerability of any system or network without authorization; (c) interfere with or disrupt the Services or circumvent any security or access controls; (d) reverse engineer or decompile any software, except to the extent permitted by law; (e) use the Services to develop or train competing models or products; or (f) use the Services for high-risk activities where failure could lead to death, personal injury, or environmental damage.

5. Intellectual Property

Legenti and its licensors retain all rights, title, and interest in and to the Services, underlying software, models, workflows, documentation, and brand elements. Except for the limited rights expressly granted to you in these Terms, no rights are granted by implication or otherwise. Content you submit remains yours; you grant Legenti a limited license to use it to operate and improve the Services. Feedback you provide may be used by Legenti without restriction or obligation.

6. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. Where required, Legenti will enter into a data processing agreement and implement appropriate safeguards for international transfers. We design our agents to operate within your environment when applicable to help meet security and compliance requirements.

7. Warranties; Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LEGENTI DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEGENTI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. LEGENTI'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICES THAT GAVE RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

9. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or if required to do so by law. Upon termination, your right to use the Services will cease immediately. Sections intended to survive (including ownership, confidentiality, disclaimers, limitations of liability, and governing law) will continue to apply.

10. Confidentiality

If you receive non-public information from Legenti, you must keep it confidential and use it only to evaluate or engage with the Services. This obligation does not apply to information that is public through no fault of yours, rightfully received from a third party, or independently developed without reference to Legenti's confidential information.

11. Indemnification

You will indemnify and hold harmless Legenti and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.

12. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law rules. The exclusive venue for any dispute arising out of or relating to these Terms will be the state or federal courts located in Delaware, and you and Legenti consent to personal jurisdiction there. Where local law requires, you may have additional rights that cannot be waived by contract.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Services after the changes become effective constitutes your acceptance of the updated Terms.
